Your Level Fitness, LLC User Generated Content Agreement

Thank you for your interest in sharing your content with Your Level Fitness, LLC ("we", "us", "our"). By responding to our request to use your content with the hashtag #YesYourLevelFitness, you are agreeing to the following terms and conditions ("Agreement").

1. Grant of Rights

You grant Your Level Fitness, LLC and Daryl Perry a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, distribute, display, and create derivative works from your content in any media formats and through any media channels, including but not limited to social media platforms, websites, emails, advertisements, and other promotional materials.

2. Representations and Warranties

By agreeing to this Agreement, you represent and warrant that:

  • You own or have the necessary rights to the content.

  • The content does not infringe on any third-party rights, including but not limited to copyright, trademark, privacy, and publicity rights.

  • You have obtained permission from all persons appearing in the content (if any) to grant the rights to Your Level Fitness, LLC and Daryl Perry.

  • The content does not violate any laws or regulations.

3. Credit and Attribution

While we reserve the right to use your content without credit, we will make reasonable efforts to credit you by mentioning your social media handle or other identifier when using your content.

4. Limitation of Liability

Your Level Fitness, LLC and Daryl Perry shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your content being used in a manner that is consistent with this Agreement.

  • Any unauthorized access to or use of your content.

5. Indemnification

You agree to indemnify, defend, and hold harmless Your Level Fitness, LLC, Daryl Perry, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, liabilities, expenses, damages, and costs, including, without limitation, attorneys' fees, arising from or relating to your content or any violation of this Agreement.

6. Changes to this Agreement

We reserve the right to modify or update this Agreement at any time without prior notice. Your continued submission of content after any changes constitutes your acceptance of the new terms.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles.
